1. Acceptance of Terms

By accessing or using the SPS Energy Services mobile application, SPS Field (the “App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

2. Purpose of the App

The App is provided to allow authorized users to:

• Track employee time and attendance
• Log equipment usage
• Capture and manage project-related photos and data
• Create daily reports, production entries, and maintenance requests

The App is intended for business and operational use by SPS Energy Services and its authorized users.

3. User Accounts

• Access to the App is restricted to authorized users.
• You are responsible for maintaining the confidentiality of your login credentials.
• You agree to use the App only for legitimate business purposes.

4. Acceptable Use

You agree not to:

• Use the App for unlawful purposes
• Upload false, misleading, or fraudulent data
• Interfere with or disrupt the App’s operation
• Attempt to gain unauthorized access to systems or data

5. Data Ownership

All data entered into the App, including time entries, project records, photos, signatures, maintenance requests, and operational data, is owned by SPS Energy Services or its clients, as applicable.

Users acknowledge that their activity within the App may be monitored for business, operational, payroll, safety, and compliance purposes.

6. Location and Media Permissions

By using the App, you acknowledge and consent to:

• Camera access for capturing project photos
• Photo library access for uploading images
• Location access at the time photos are taken
• Secure storage and synchronization of uploaded content and work-related records

This data is used strictly for operational, reporting, and documentation purposes.

7. Offline Functionality and Synchronization

The App may permit offline use. Data entered while offline may be stored locally on your device and synchronized with Company systems when connectivity is restored.

8. Intellectual Property

All rights, title, and interest in the App, including its software, design, functionality, and content, are owned by SPS Energy Services or its licensors.

You may not copy, modify, distribute, license, sell, or reverse engineer any part of the App except as permitted by law.

9. Disclaimer of Warranties

The App is provided on an “as is” and “as available” basis. We do not guarantee that the App will be uninterrupted, error-free, secure, or that all data will always be accurate or complete.

10. Limitation of Liability

To the fullest extent permitted by law, SPS Energy Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business interruption arising out of or related to your use of the App.

11. Termination

We may suspend or terminate access to the App at any time for violations of these Terms, security concerns, administrative reasons, or other business or operational reasons.

12. Changes to Terms

We may update these Terms from time to time. Updated Terms may be posted at https://spsenergyservices.com/terms. Continued use of the App after any update constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by the laws of the State of [Insert State], without regard to conflict of law principles.
